Terms of Service
These Terms of Service (the “Terms”) are an agreement between you and Sark Labs LLC, a California limited liability company (“Sark Labs”, “we”, “us”). They cover the Steady Road mobile app, its AI assistant “Sark”, and the services and websites that support it, including steadyroad.ai (together, “Steady Road”).
Steady Road was previously called SarkDispatch. The new name doesn’t change your account, your records or who you have this agreement with. Earlier SarkDispatch documents remain the record of what you accepted then. The rename doesn’t restart or shorten your original arbitration opt-out period, and an opt-out you already sent us still applies.
By checking the box and tapping Agree and continue in the app, you agree to these Terms (including the Driving Safety & Navigation Notice, which is part of them) and to the Privacy Policy. If you don’t agree, don’t use Steady Road.
1. Who can use Steady Road
- You must be at least 18 and able to make a binding contract.
- Steady Road is a business tool for people who haul vehicles or run a trucking business in the United States. You use it for your business, not for personal, family or household purposes.
- If you accept these Terms for a company or fleet, you confirm you’re allowed to bind it, and “you” includes that company.
- You’re responsible for your account, your password and everything done under your account. Tell us right away at sark@sarklabs.ai if you think someone else is using it.
2. What Steady Road is, and what it isn’t
Steady Road is software. It helps you keep your trips, miles, pay and expenses, read your load paperwork and work email, size up loads, remind you about your truck and papers, and talk to an AI assistant while you work.
Steady Road and Sark Labs are not:
- a motor carrier, broker, freight forwarder or shipper, and we don’t arrange or take responsibility for any transportation. Every load is between you and your broker, shipper or customer;
- your co-driver or a safety system. You are always the person in control of your vehicle;
- an electronic logging device (ELD) or a record of duty status, and not a replacement for any record the law requires you or your carrier to keep;
- a lawyer, accountant, tax preparer, insurance agent or compliance service. Nothing in the app is legal, tax, IFTA, accounting, insurance or regulatory advice;
- a guarantee of loads, pay, profit, delivery times or payment by anyone you haul for;
- an emergency service. In an emergency, call 911.
3. Driving safety
The Driving Safety & Navigation Notice is part of these Terms. In short:
- While your vehicle is moving, use Steady Road by voice only. Federal rules for commercial motor vehicle drivers ban texting and holding a phone while driving (49 CFR 392.80 and 392.82), and California law requires hands-free use (Vehicle Code 23123.5). Mount your phone, and don’t type, read, scroll or look at pictures while moving. Pull over safely for anything else.
- You decide whether, when and how to use the app while driving. If anything in the app distracts you, stop using it until you’re parked.
- You’re responsible for obeying all traffic, safety, hours-of-service and vehicle laws, and for the safe operation, loading and securement of your vehicle, trailer and cargo.
4. Routes, maps and navigation
- Don’t rely only on the app to tell you a route is safe or legal. Routes, distances, drive times, ETAs, addresses and map information come from third-party map and data providers and from what you and others enter. They can be wrong, incomplete or out of date.
- Today, most routes aren’t truck routes. The maps, miles and drive times in Steady Road, and the navigation apps it can open (like Apple Maps, Google Maps or Waze), generally use regular car routes that don’t account for your vehicle’s height, weight or length.
- Turn-by-turn navigation inside the app, where it’s available to you, is provided by Google. It gives a regular route unless the app clearly labels the route as a truck route. A regular route is shown as “Regular route · not checked for truck height”.
- You’re responsible for tolls and other charges you incur when following navigation directions.
- When Steady Road offers truck routing, routes are “truck-aware”, not guaranteed. No app knows every low bridge, weight limit, closure, construction zone, no-truck road or local restriction. A route may still lead into a restriction, especially when no fully legal route is available.
- You must obey posted signs and road restrictions over anything the app says, and you must check that the height, weight, length, axle and other details saved for your loaded vehicle are correct before you rely on a route.
- Steady Road doesn’t check oversize or overweight permits, hazardous-materials routes, bridge laws or local truck ordinances. Getting the right permits and choosing a legal route is your job.
- Google Maps. Steady Road includes, or may include, Google Maps features and content. Your use of Google Maps features and content is subject to the then-current versions of the Google Maps End User Additional Terms of Service and the Google Privacy Policy. Other map features may use Apple Maps or OpenStreetMap-based services under their own terms.
5. Sark, the AI assistant
- Sark uses artificial intelligence from third-party providers. AI can be wrong. It can misread an email, a bill of lading, a receipt, a screenshot or something you said, and it can sound sure when it isn’t.
- Load checks (“is this load worth it?”), pay per mile, money kept, fuel, MPG, mileage, totals and other numbers are estimates based on the data you give and on third-party sources. They’re not financial advice and not a promise of what you’ll earn. You decide which loads to take.
- Check anything important (addresses, pickup and delivery times, pay, vehicle details, amounts) before you act on it.
- Messages sent for you. When Sark drafts or sends an email or message for you, you’re responsible for it. Read drafts before you approve them. Emails Sark sends for you go out from a Sark Labs email address under your name (for example “Your Name via Steady Road”), with replies set to go to your email address. Rules you teach Sark (“from now on, …”) are your instructions, and Sark may act on them without asking each time. You can pause, change or remove them in the app.
- Web search results and links come from third parties. We don’t control or endorse them, and part fitment, prices and business details may be wrong.
6. Your email and connected accounts
- If you connect an email account, you authorize us to sign in to it and read, sort, label, move, reply to and send messages as your settings and instructions say.
- Only connect accounts you have the right to connect. If a mailbox belongs to your employer, carrier or anyone else, you need their permission.
- You can disconnect an account at any time. Messages already sent can’t be unsent.
- Your Steady Road email address. Steady Road can give you your own email address for bills of lading, dispatch sheets and other work email. Send or forward to it only email you have the right to share. Anyone who knows the address can send to it, so give it only to people you work with. We read and file what arrives as the Privacy Policy describes.
- Your ELD. If you connect an electronic logging device (ELD) account (for example Motive), you authorize read-only access to the information described in our Privacy Policy, including account-wide driver names, IDs and email addresses used to identify your profile. Connect only an account you’re authorized to connect to Steady Road. For a carrier or fleet account, that authorization must cover access to its driver directory, and any legally required notices or permissions must be provided or obtained. Select only your own driver profile.
- Steady Road displays, and Sark summarizes, information received from your ELD provider. It may be delayed, incomplete or incorrect, and Sark may misinterpret it. A retrieval time doesn’t guarantee that the underlying ELD information is current. Use your ELD’s official record of duty status and the hours-of-service rules that apply to you to verify your available hours before deciding whether to drive. Steady Road isn’t an ELD or a determination that driving is lawful or safe, and available hours don’t mean you’re rested or fit to drive. We don’t control your ELD provider’s service or data. Any disclaimer or limitation of liability is subject to section 16 and applicable law.
7. Records, reminders and truck data
- Time cards, mileage logs, trip and pay records, receipts, invoices, papers and expiry dates, service reminders and inspection checklists are helpers. You (and your carrier) remain responsible for every record, filing, permit, registration, inspection, insurance policy and deadline the law requires, including hours-of-service and short-haul time records, ELD rules, vehicle inspection reports, IFTA and IRP, and tax records.
- Reminders are best effort. They can be late or missing (for example if notifications are off, your phone is offline, or a date is wrong). Keep your own copies and your own calendar for anything that matters.
- Truck data. If you connect a vehicle data plug (OBD), Steady Road shows what the plug reports. That information and our explanations of it are informational, not a mechanic’s diagnosis. Install and use any plug safely, and don’t let it get in the way of driving.
8. Fleet accounts
If you use Steady Road to manage other drivers (a “fleet account”):
- You must tell your drivers, and get any consent the law requires, before you see their location or work data. That includes laws on electronic tracking and workplace monitoring, including limits on monitoring during off-duty time and breaks (for example California Penal Code 637.7), privacy laws, and employment laws, including reimbursing drivers for business use of their own phones where required (California Labor Code 2802).
- Drivers join your fleet with a code or invite you send them. Without anything more, you and your dispatchers see each driver’s name, when they joined or left, and whether they used Steady Road that month.
- A driver can choose to share more with your fleet. It’s off until the driver turns it on. While the driver stays in your fleet, it shares the information below. Only loads first logged after sharing starts are shared, but those loads and their paperwork may include information about earlier events:
- the trips and loads they log, with their paperwork pictures;
- whether they’re on the clock, and their clock-in and clock-out times;
- their ELD hours and duty status, if connected and current;
- when their app last checked in;
- their latest location, speed and heading, only while they’re on the clock (no route history).
- Turning sharing off, leaving the fleet or being removed ends it at once. The on-the-clock limit applies to location. While sharing is on, other shared information, such as ELD duty status and app check-in times, may be visible off the clock. Neither the sharing switch nor being on the clock means that monitoring is lawful or that a driver is working: your notice, consent and employment-law duties in the first bullet still apply.
- Dispatchers. You can invite dispatchers by email to see your fleet’s dashboard (fleet.steadyroad.ai). They see what you see but can’t change settings, invite people or remove drivers. You’re responsible for who you invite and for their use of the dashboard and the information on it. Remove a dispatcher when they no longer need access; removal ends their access at once.
- Use driver data only for legitimate business purposes.
- A driver’s private conversations with Sark aren’t shown to the fleet.
- You’re responsible for your drivers’ use of Steady Road under your account and for your instructions to them. Where we process driver data in your fleet account on your behalf, we do so as your service provider.
- Drivers in a fleet still agree to these Terms for their own use of the app.
- Fleet data terms. For personal information about your drivers that we process for your fleet account, we will: process it only for these limited business purposes: managing fleet membership and dispatcher access, counting fleet billing activity, showing driver-authorized work records and on-the-clock location to the fleet’s authorized viewers, and securing and supporting those features (your fleet discloses personal information to us only for those purposes); not sell or share it, or use, keep or disclose it for any other purpose or outside our direct business relationship with you, except as the law allows a service provider to; not combine it with personal information from other sources except as the law allows; bind any subcontractor that helps us to written terms at least this protective; help you respond to your drivers’ privacy requests; comply with applicable privacy law and tell you if we can no longer meet it; and let you take reasonable steps to confirm our compliance and to stop and remediate any unauthorized use. We will provide the same level of privacy protection that applicable California privacy law requires of you.
9. Subscriptions, free trials and payments
- Some features need a paid subscription. Steady Road is priced per truck. The price, billing period and any free trial are shown to you before you buy.
- Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel.
- Free trials. App Store free trials are offered only when Apple confirms you’re eligible. The trial length and renewal terms are shown before you start. If you don’t cancel at least 24 hours before the trial ends, your subscription starts and you’re charged. Fleet trials have their own terms, shown to the fleet owner.
- Bought through the App Store or Google Play: Apple or Google charges you, and their payment and refund rules apply. Cancel at least 24 hours before the end of the current period to avoid the next charge. Manage or cancel in your device’s subscription settings (on iPhone: Settings, your name, Subscriptions). Deleting the app doesn’t cancel a subscription. Refund requests go to Apple or Google.
- Restore and offer codes. If you reinstall the app or switch phones, use Restore purchase on the plan screen. Offer codes are redeemed through Apple.
- Bought from us directly (if we offer it): we’ll show the terms before you buy, send a confirmation, and let you cancel online.
- Fleet plans. A fleet owner can pay for its drivers. Fleet plans are billed to the fleet owner by invoice, for each truck that used Steady Road in a month, on the terms shown to the fleet owner or agreed with us. A fleet trial, if offered, is shown to the fleet owner with its length and is available once per login. If a fleet stops covering you (you leave, the owner removes you, or the fleet stops paying), your own records stay with you, and you can start your own plan to keep using paid features.
- Price changes: we’ll give advance notice of a price increase as the store’s rules or the law require. You can cancel before it takes effect.
- Prices don’t include taxes unless stated.
- Features, limits and prices of plans can change, and we don’t promise any plan or price will stay the same in the future.
10. Your data and content
- You own your data: your trips, records, documents, messages, pictures and other content (“your content”).
- You give us a limited permission to host, copy, process, analyze, transmit and display your content only to run, secure and improve Steady Road for you and as the Privacy Policy describes, including sending it to our service providers to do that.
- You confirm you have the rights to the content you put into Steady Road, including documents and emails from others.
- We don’t sell your personal information. See the Privacy Policy.
- If you send us ideas or feedback, we may use them without owing you anything.
11. Rules for using Steady Road
Don’t:
- use Steady Road in a way that breaks any law or puts anyone in danger;
- track, record or monitor anyone without the notice and consent the law requires;
- send spam, fraud, harassment or misleading messages through Sark;
- upload content you don’t have the right to share, or malware;
- copy, resell, reverse engineer or scrape Steady Road, get around its limits or security, or use it to build a competing product, except as the law allows;
- overload or interfere with Steady Road or the services it connects to;
- pretend to be someone else, or use another person’s account without permission.
12. Third-party services
Steady Road works with services we don’t control, such as Apple, Google, AI providers, map and routing providers, email providers, load sources, brokers, and vehicle data plugs. Their terms and privacy policies apply to your use of them. We’re not responsible for their services, content, availability or mistakes.
13. Our software and changes to it
- We own Steady Road and its software, design and brand. Subject to these Terms, we give you a personal, non-transferable, non-exclusive, revocable license to use the app on devices you own or control.
- We may add, change, limit or remove features, including beta features, at any time. Steady Road may be unavailable at times, including where you have no signal.
14. Ending your use
- You can stop using Steady Road at any time. You can delete your account in the app (tap your initials, top right, to open your profile, then Delete account) or ask us to delete it, as the Privacy Policy explains. Deleting your account doesn’t cancel an App Store subscription: cancel it separately (section 9).
- We may suspend or end your access if you break these Terms, don’t pay, create a risk for others or for us, or if the law requires it. When possible, we’ll tell you first and give you a chance to download your records.
- Sections 2, 4, 5, 7, 10, 12 and 15 through 21 continue after your use ends.
15. Disclaimer of warranties
16. Limits on our liability
These limits apply to every legal theory (contract, tort, negligence, product liability or otherwise). They don’t limit liability that the law doesn’t allow to be limited, such as liability for our fraud, willful injury, gross negligence or violation of law (California Civil Code 1668), or for death or personal injury caused by our gross negligence or willful misconduct. The price of Steady Road reflects these limits.
17. Your responsibility to us (indemnity)
To the extent the law allows, you’ll defend, indemnify and hold harmless Sark Labs and its owners, members, employees and contractors from any third-party claim, loss, liability, fine or expense (including reasonable attorneys’ fees) arising from:
- your driving, your vehicle, trailer and cargo, and your trucking business, including your dealings with brokers, shippers, customers and drivers;
- your content, and messages sent from your account;
- your fleet account, including tracking or monitoring your drivers;
- your breaking these Terms or any law, or violating anyone’s rights.
This doesn’t apply to the extent a claim is caused by Sark Labs’ negligence, fraud, willful misconduct or violation of law. We’ll tell you about a claim, and we may take part in our own defense with our own lawyer at our cost.
18. Disputes: informal resolution and arbitration
18.1 Talk to us first. Before starting arbitration or a lawsuit, the person making the claim must send a written notice describing it and the relief wanted, and try in good faith to resolve it for 30 days. Send yours to sark@sarklabs.ai and by mail to Sark Labs LLC, 2108 N St, Ste N, Sacramento, CA 95816. We’ll send ours to your account email. Deadlines to bring a claim are paused during these 30 days.
18.2 Agreement to arbitrate. If we can’t resolve it, you and Sark Labs agree that any dispute, claim or controversy arising from or relating to Steady Road or these Terms (including whether this section applies or can be enforced) will be resolved by binding individual arbitration, not in court, except as section 18.4 says.
18.3 How it works. The American Arbitration Association (“AAA”) will administer the arbitration under its rules in effect when it’s filed, including its Consumer Arbitration Rules where the AAA decides they apply, and its Mass Arbitration Supplementary Rules if they apply. One arbitrator decides. The hearing will be by video, phone or written submissions, or in person in the county where you live or Los Angeles County, California, as you choose. If you’re an individual, we’ll pay all AAA filing, administration and arbitrator fees beyond what you’d pay to file a lawsuit in court. The arbitrator can award any individual relief a court could, and must follow these Terms and the law. Judgment on the award may be entered in any court with jurisdiction.
18.4 Exceptions. Either of us may (a) bring an individual claim in small claims court if it qualifies, and (b) ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorized access to Steady Road. Nothing in this section limits a claim for public injunctive relief (relief meant mainly to benefit the general public). Such a claim may be brought in court, and the court will decide whether to pause it while individual claims are arbitrated.
18.5 No class actions. You and Sark Labs may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action or arbitration. The arbitrator can’t combine more than one person’s claims, except under the AAA’s mass arbitration rules for administration only, and can’t award relief to anyone but the individual party. This section doesn’t prohibit a claim for public injunctive relief. If a court decides this section 18.5 can’t be enforced for a particular claim or remedy, that claim or remedy (and only that one) goes to court, and the court may pause it until the arbitration is done.
18.6 Which law governs arbitration. The Federal Arbitration Act governs this section 18. If a court finds the Federal Arbitration Act doesn’t apply, the California Arbitration Act (Code of Civil Procedure 1280 and following) governs instead.
18.7 Changes to this section. If we change section 18 after you accepted it, the change won’t apply to a claim already started or noticed, and you can reject the change by emailing us within 30 days after it takes effect. If you do, the last version you accepted still applies.
18.8 Opting out. You can opt out of arbitration by emailing sark@sarklabs.ai within 30 days after you first accepted these Terms (including under the SarkDispatch name), with your name, the email on your account and a statement that you opt out of arbitration. Opting out doesn’t affect the rest of these Terms, and it doesn’t hurt your account.
18.9 Severability. If any part of section 18 is found unenforceable, the rest still applies, except as section 18.5 says.
19. Governing law and courts
California law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 18. Except where mandatory law requires otherwise, any claim not sent to arbitration will be brought only in the state or federal courts located in Los Angeles County, California, and you and we agree to their jurisdiction; small claims may be brought where the rules of that court allow.
20. Changes to these Terms
- We may update these Terms. The date at the top shows the current version.
- For a material change, we’ll tell you in the app or by email before it takes effect, and the app will ask you to read and agree to the new version. If you don’t agree, stop using Steady Road and cancel any subscription.
- Other changes (for example clearer wording or a new contact address) take effect when posted.
- Changes don’t apply to a dispute already started or noticed.
21. General terms
- Whole agreement. These Terms, the Privacy Policy, the Driving Safety & Navigation Notice, and any terms shown when you buy a plan are the whole agreement between you and us about Steady Road.
- Electronic agreement and notices. You agree that checking the box and tapping Agree is your signature, and that we can give you notices electronically (in the app or by email).
- Assignment. You can’t transfer these Terms without our written OK. We may transfer them as part of a merger, sale or reorganization.
- Severability and waiver. If a part of these Terms can’t be enforced, the rest still applies. Not enforcing a part right away isn’t a waiver.
- Events outside our control. We’re not responsible for delays or failures caused by events outside our reasonable control, such as outages of networks or providers, natural disasters, or government action.
- No third-party beneficiaries, except as section 22 says about Apple.
22. If you got Steady Road from Apple’s App Store
- These Terms are between you and Sark Labs only, not Apple. Sark Labs, not Apple, is solely responsible for Steady Road and its content.
- Your license is limited to using Steady Road on Apple-branded products you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, which also allow access by other accounts associated with you through Family Sharing, volume purchasing or Legacy Contacts.
- Sark Labs is solely responsible for any maintenance and support for Steady Road required by these Terms or applicable law. Apple has no obligation to provide any maintenance or support for Steady Road.
- If Steady Road fails to meet any warranty that applies, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the fullest extent the law allows, Apple has no other warranty obligation for Steady Road. Any other claims, losses, liabilities, damages, costs or expenses from a failure to meet a warranty are Sark Labs’ responsibility, subject to these Terms.
- Sark Labs, not Apple, is responsible for handling any claims by you or anyone else about Steady Road or your use of it, including product liability claims, claims that it fails to meet any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If anyone claims that Steady Road or your use of it infringes their intellectual property, Sark Labs, not Apple, is responsible for investigating, defending, settling and resolving the claim.
- You confirm you aren’t located in a country subject to a U.S. Government embargo or designated as “terrorist supporting”, and you aren’t on any U.S. Government list of prohibited or restricted parties.
- Questions, complaints or claims about Steady Road go to Sark Labs at the contact details in section 23.
- You must follow any third-party terms that apply when you use Steady Road (for example, your wireless data plan).
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- If you got Steady Road from Google Play, Google Play’s terms also apply to your download and purchases.
